This Virtual Office Service Agreement ("Agreement") is entered into between YYZ Offices ("we," "us," or "our") and the individual or entity accepting these terms ("you," "Member," or "Client"). By completing the electronic signup process — including providing your information, submitting valid government-issued identification, and selecting your acceptance — you acknowledge and agree to be bound by this Agreement in its entirety. Your acceptance is electronically recorded and constitutes a binding and enforceable acknowledgment. You also accept all referenced policies, including our Terms & Conditions, Privacy Policy, and Cookie Policy.
You acknowledge that no account freeze, pause, or suspension of billing is available. To discontinue service, you must cancel your plan through your customer portal.
YYZ Offices provides virtual office services limited to the following, as included in your selected plan:
No other services are offered at this time. Any add-on or concierge services, if made available in the future, will be offered at YYZ Offices' sole discretion, subject to separate pricing, and may be modified or discontinued at any time without notice.
Plans are billed on a monthly basis in advance, or on a yearly basis where applicable. The following limits and inclusions apply per billing cycle:
Mail and parcels received beyond your plan's monthly limits are billed at $5.00 per item. Parcel overages are billed at $5.00 per parcel beyond 10 per billing cycle where parcel handling is included.
The company name registered to your account counts as Recipient 1 and is included in your plan's total recipient limit. Mail addressed to names not registered to your account will be refused by default. If you wish to add a name, a $5.00 name addition fee applies per request.
Where we receive mail or a parcel addressed to an unregistered name and are able to reasonably identify it as belonging to your account, and your plan's recipient limit has not been reached, we may at our sole discretion add that name to your account and waive the fee for that instance. This is a courtesy and does not create an obligation on YYZ Offices to do so in future instances.
Recipients may be added at any time. Removing or replacing a recipient is permitted once per 12-month period.
Mail and parcels are accepted only for registered names and authorized recipients with active memberships and during posted business hours. YYZ Offices is not responsible for courier tags, missed delivery attempts, or deliveries made outside business hours.
YYZ Offices does not open mail or parcels by default. However, YYZ Offices expressly reserves the right to open any mail or parcel, without notice, in any of the following circumstances:
Once an item has been opened and discarded or shredded in accordance with this Agreement, YYZ Offices bears no liability for the item or its contents. Discarding constitutes final disposition and the Client has no further recourse.
YYZ Offices reserves the right, at its sole discretion, to return any mail or parcel to sender where the recipient cannot be identified or matched to an active account. No notification to the Client is required prior to return. YYZ Offices bears no liability for any consequence arising from such return.
Mail is consolidated and forwarded during the first week of the following month. Rush forwarding is available on request for a $20.00 fee. Forwarding applies to mail only — not parcels. Sensitive, confidential, or government-issued items will not be forwarded and must be collected in person. Once dispatched, YYZ Offices bears no liability for loss, delay, or misdelivery by third-party couriers. All forwarding is undertaken at the Member's risk.
YYZ Offices reserves the right, at its sole discretion, to forward or discard any parcel uncollected beyond the retention period. If YYZ Offices elects to forward such a parcel, an administrative handling fee of $50.00 will apply, plus applicable shipping costs.
Mail is opened, scanned, and delivered digitally to your registered admin email as a PDF on the same day it arrives. Physical mail is held for 30 days and then securely shredded. Sensitive, confidential, or government-issued items will not be scanned — you will be notified and required to collect such items in person.
You agree not to cause to be sent, received, or stored at YYZ Offices any item that is illegal, hazardous, perishable, oversized, or otherwise prohibited by applicable law. YYZ Offices reserves the right to refuse, return, or dispose of any prohibited item, at your cost and without liability.
YYZ Offices does not provide insurance coverage for mail, parcels, or any property handled or stored on your behalf. You are solely responsible for obtaining and maintaining adequate insurance. YYZ Offices is not liable for any loss, theft, damage, delay, or misdelivery of items, whether caused by negligence, courier mishandling, or events beyond our control.
YYZ Offices does not guarantee uninterrupted mail receipt, courier acceptance, notifications, scanning, forwarding, or delivery timelines. Delays or failures caused by carriers, building access, weather, technical failures, staffing shortages, or third-party systems do not constitute a breach of this Agreement and do not give rise to any credit, refund, or claim.
YYZ Offices may modify operating hours, pickup windows, staffing levels, and reception availability at any time without notice and without liability to the Client.
YYZ Offices receives, accepts, and forwards legal documents and government correspondence on all plans as an administrative service, subject to the Legal Document Receipt & Forwarding Addendum. This service is included by default on all plans except where a plan expressly states it is not provided, where YYZ Offices has revoked it, or for international clients outside the eligibility conditions in that Addendum. The limitations in this Section 5 apply only in those excepted cases.
Where the Legal Document Receipt & Forwarding Addendum applies, YYZ Offices accepts delivery of legal documents, government correspondence, regulatory notices, and service of process delivered to the Client's designated YYZ Offices address and will use commercially reasonable efforts to notify and forward such documents to the Client.
This service is strictly administrative. YYZ Offices:
The Client remains solely responsible for reviewing all forwarded documents and taking any action required in connection with them.
Where the Legal Document Receipt & Forwarding Addendum does not apply, has been revoked, or a plan expressly states that legal document receipt is unavailable, the Client shall not use the YYZ Offices address:
Where the Legal Document Receipt & Forwarding Addendum does not apply, has been revoked, or a plan expressly states that legal document receipt is unavailable, YYZ Offices may refuse, reject, return to sender, or dispose of any item that appears to be legal in nature or intended as service of process.
YYZ Offices shall have no obligation to accept, track, store, forward, or notify the Client regarding any such item.
Any legal document not refused upon delivery may be handled in accordance with YYZ Offices' ordinary mail retention policies, including secure destruction following the applicable retention period.
YYZ Offices shall not be liable for any loss, damage, missed deadline, default judgment, enforcement action, regulatory consequence, or other outcome arising from the refusal, rejection, return, storage, destruction, or non-delivery of legal documents where legal document service is unavailable.
The Client remains solely responsible for:
Nothing in this Agreement relieves the Client of any statutory obligation to maintain a registered office, records office, address for service, or other legally required address.
The Client shall indemnify, defend, and hold harmless YYZ Offices, its directors, officers, employees, contractors, affiliates, and agents from and against any claims, liabilities, losses, damages, penalties, costs, expenses, or legal fees arising from:
For clarity, the Legal Document Receipt & Forwarding Addendum governs administrative receipt and forwarding of legal documents. A designated process agent service, where YYZ Offices is expressly appointed as an authorized process agent for a Client, is a separate service.
YYZ Offices may, in its sole discretion, offer a designated process agent service to eligible clients.

No Client may represent that YYZ Offices acts as its designated process agent unless YYZ Offices has expressly agreed to do so in writing.
The YYZ Offices address is a professional business mailing address that may be used for business correspondence, government correspondence, tax communications, and other permitted business purposes, subject to applicable laws and the terms of this Agreement.
Except where expressly permitted by the Legal Document Receipt & Forwarding Addendum or other written authorization from YYZ Offices, the address does not constitute:
Within fourteen (14) calendar days following termination or cancellation of service, the Client shall cease representing the YYZ Offices address as its active business address and shall update all applicable records, registrations, directories, marketing materials, financial institutions, government agencies, and service providers accordingly.
The Client acknowledges that continued use of the address after service termination may cause operational, regulatory, and administrative issues and constitutes a material breach of this Agreement.
YYZ Offices is not responsible for any rejected filing, administrative delay, regulatory issue, audit, penalty, legal consequence, financial loss, or business interruption arising from:
You must provide a valid, unexpired, and unaltered government-issued photo ID upon account activation. A $25.00 administrative fee will apply if YYZ Offices must contact you to correct an ID submission error. If you submit fraudulent, altered, or misrepresenting identification:
You may designate up to three (3) authorized collectors on your account, each of whom must present valid government-issued photo ID at pickup. The account administrator is an authorized collector by default. The number of authorized collectors and the designated individuals may be updated at any time by contacting us or through your customer portal where applicable.
YYZ Offices reserves the right to conduct ongoing identity verification, compliance reviews, sanctions screening, anti-fraud monitoring, and business activity reviews at any time throughout the term of this Agreement. Clients may be required to provide additional documentation, proof of business activity, beneficial ownership information, or regulatory filings upon request. Failure to comply with any such request within a reasonable timeframe may result in suspension or termination of the account without refund.
All fees are billed in advance on a recurring monthly or yearly basis depending on your selected plan. All displayed prices exclude applicable taxes unless expressly stated otherwise. Ontario HST (13%) applies to all services.
Payments are processed exclusively through Stripe, a third-party payment processor. By providing your payment information, you consent to Stripe's terms of service and authorize Stripe to process charges on behalf of YYZ Offices. YYZ Offices does not store raw card data. All payment information is handled and secured by Stripe in accordance with PCI DSS standards.
All payments are final and non-refundable, including for unused or partially used billing periods. No credits, pro-rations, or refunds will be issued under any circumstances.
Mail in storage at the time of termination will be held until the end of the applicable retention period and then discarded. No new mail or parcels will be accepted after the termination date.
Initiating a chargeback, payment dispute, or reversal constitutes a material breach and will result in:
Overdue amounts may accrue interest at the maximum rate permitted by the Province of Ontario. YYZ Offices reserves the right to refer delinquent accounts to a third-party collections agency. You agree to bear all reasonable costs of collection, including legal fees on a solicitor-client basis.
If your account is terminated, reinstatement may be available at the sole discretion of YYZ Offices. A reinstatement fee may apply, as determined by YYZ Offices at the time of the request. All reinstatement fees are non-refundable.
Any administrative or custom service request outside your standard plan is subject to a minimum charge of $40.00 for up to 30 minutes of work. Extended services are billed at $50.00 per hour with a minimum commitment of three (3) hours. All labour-based fees are billed upfront and are non-refundable.
This Agreement renews automatically on a monthly basis, or on a yearly basis where applicable, unless cancelled in accordance with Section 11.2.
You may cancel your plan at any time through your customer portal before your next billing date, or by submitting a written cancellation request at least 7 days prior to your next billing date. No account freeze or pause is available — cancellation is the only way to discontinue service.
To the fullest extent permitted by applicable law, YYZ Offices shall not be liable for any loss, theft, damage, delay, or misdelivery of mail or parcels; loss of income, profits, or business opportunities; service interruptions; security breaches; consequences arising from refusal or disposal of legal documents; or any indirect, incidental, consequential, special, or punitive damages of any kind.
YYZ Offices' total aggregate liability shall not exceed the total fees paid by you in the one (1) billing cycle immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless YYZ Offices, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees on a solicitor-client basis) arising from or related to: your breach of this Agreement; your misuse or unlawful use of our services or mailing address; your failure to remove or update the YYZ Offices address following termination; any use of the YYZ Offices address as an address for service of process; any third-party claim related to your business activities; or any regulatory investigation in which the YYZ Offices address is implicated.
YYZ Offices collects and processes personal information in accordance with its Privacy Policy available at yyzoffices.com/legal-policies and in compliance with PIPEDA. Payments are processed by Stripe — YYZ Offices does not store raw card data. We use third-party software and service providers to operate our platform, including but not limited to payment processors, cloud infrastructure providers, customer portal software, and developer tools. By using our services, you consent to the collection, use, and processing of your personal information as described in our Privacy Policy.
YYZ Offices is not responsible for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, pandemics, power outages, postal or courier strikes, government orders, or platform failures.
This Agreement is governed exclusively by the laws of the Province of Ontario and the applicable laws of Canada. Any dispute shall be resolved by binding arbitration administered by ADR Chambers Ontario in Toronto, Ontario, in accordance with its Commercial Arbitration Rules, except where the claim falls within the jurisdiction of the Ontario Small Claims Court. For claims of $10,000 or less, the party that does not substantially prevail shall bear all arbitration costs. You waive any right to participate in any class action or representative proceeding. The parties irrevocably attorn to the courts of Ontario for any matter not subject to arbitration under this Agreement.
YYZ Offices may update or revise this Agreement at any time. Where changes are material — including significant changes to pricing, plan structure, or key service terms — we will notify you by email to your address on file prior to the changes taking effect. The current version is always posted at yyzoffices.com/legal-policies. Your continued use of our services following notice of any changes constitutes your acceptance of the then-current version.
This Agreement, together with the Terms & Conditions, Privacy Policy, and Cookie Policy available at yyzoffices.com/legal-policies, constitutes the entire agreement between you and YYZ Offices and supersedes all prior communications. If any provision is held invalid, it will be modified to the minimum extent necessary or severed. YYZ Offices' failure to enforce any right shall not constitute a waiver. Notices will be sent to your email on file and are deemed received upon sending.
Nothing in this Agreement creates any partnership, agency, fiduciary, employment, joint venture, or representative relationship between YYZ Offices and the Client. The parties are independent contracting parties only.
The Client acknowledges that it has not relied upon any verbal statements, representations, marketing materials, estimated delivery times, or promises not expressly contained in this Agreement. This Agreement constitutes the entire basis on which the Client has entered into the relationship with YYZ Offices.
YYZ Offices may refuse, suspend, or restrict service at any time where, in its sole discretion, the Client presents a legal, reputational, operational, fraud, anti-money laundering, compliance, or security risk. No notice, credit, or refund is required in connection with any such action.
Any future telecommunications, phone answering, VOIP, or related services offered in connection with the YYZ Offices platform remain the exclusive property and under the exclusive control of YYZ Offices and may be modified, reassigned, suspended, or discontinued at any time and without liability to the Client.
These Terms & Conditions ("Terms") govern your access to and use of the YYZ Offices website and customer portal (collectively, the "Platform"), as well as any services you access through the Platform. These Terms should be read together with the Virtual Office Service Agreement, Privacy Policy, and Cookie Policy, all available at yyzoffices.com/legal-policies.
In the event of any conflict between these Terms and the Virtual Office Service Agreement, the Virtual Office Service Agreement governs with respect to all service, billing, mail handling, liability, and termination matters.
By accessing or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms and all referenced policies.
You are responsible for all activity under your account. YYZ Offices may suspend or terminate access without notice for suspected fraud, misuse, or non-compliance.
No account freeze, pause, or suspension of billing is available. Cancel your plan through your customer portal to discontinue service.
Services are governed by the Virtual Office Service Agreement. YYZ Offices reserves the right to modify or discontinue Platform features; make service changes effective as posted at yyzoffices.com/legal-policies; refuse access to users whose conduct creates compliance risk; and require proof of identity at any time.

All content, software, design, logos, and branding on the Platform are the exclusive property of YYZ Offices or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for managing your account. This licence does not include the right to copy, distribute, reverse-engineer, or frame any part of the Platform without prior written consent.
The Platform and our services rely on third-party software, tools, and service providers to operate, including but not limited to payment processors, cloud infrastructure providers, customer portal software, analytics tools, communication platforms, and developer tools. These third parties operate under their own terms and privacy policies. YYZ Offices does not endorse or accept responsibility for any third-party content, practices, or services. Payments are processed by Stripe — by providing payment information you consent to Stripe's terms. The Platform may also contain links to external websites for reference only.
YYZ Offices collects and processes personal information in accordance with its Privacy Policy at yyzoffices.com/legal-policies and in compliance with PIPEDA.
The Platform and all services are provided on an "as is" and "as available" basis, without warranties of any kind. YYZ Offices expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
YYZ Offices shall not be liable for any indirect, incidental, consequential, special, or punitive damages of any kind. Total aggregate liability shall not exceed the total fees paid by you in the one (1) billing cycle immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless YYZ Offices, its directors, officers, employees, agents, and affiliates from any claims, damages, liabilities, costs, and expenses (including solicitor-client legal fees) arising from your breach of these Terms, misuse of the Platform, content you submit, third-party claims from your business activities, or your violation of any applicable law.
These Terms remain in effect for as long as you use the Platform or maintain an active account. YYZ Offices may terminate your access immediately if you breach these Terms or if your account is terminated under the Service Agreement. Upon termination, all post-termination obligations in the Service Agreement apply. Provisions that by nature survive termination — including intellectual property, liability, indemnification, and governing law — shall survive.
Governed exclusively by the laws of Ontario and Canada. Disputes resolved by binding arbitration administered by ADR Chambers Ontario in Toronto under its Commercial Arbitration Rules, except for Ontario Small Claims Court matters. For claims of $10,000 or less, the non-prevailing party bears all arbitration costs. Class action participation is waived.

This Privacy Policy explains how we collect, use, disclose, store, and safeguard your personal information when you visit our website, use our customer portal, or otherwise interact with us in connection with our virtual office services (the "Platform"). This Policy complies with PIPEDA and other applicable Canadian privacy laws. By accessing the Platform or using our services, you consent to the practices described in this Privacy Policy. "Personal Information" means any information about an identifiable individual, including your name, contact details, government-issued identification, billing information, IP address, and any other data that can identify you, either alone or in combination with other information. It does not include aggregated or anonymized data that cannot reasonably identify an individual.
YYZ Offices does not sell your personal information.
We share personal information with trusted third-party service providers who assist in delivering our services, including payment processors, cloud infrastructure providers, customer portal software, analytics tools, communication platforms, developer tools, and other software used to operate and maintain our services. All providers are required to handle your personal information only as directed by YYZ Offices and in accordance with applicable privacy law. Key processors include Stripe for payment processing, who handle card data in accordance with PCI DSS standards. YYZ Offices does not store raw card data.
We may disclose personal information in response to subpoenas, court orders, warrants, or other lawful legal process; requests from government authorities, regulatory bodies, or law enforcement; or legal proceedings in which YYZ Offices is a party.
In connection with a merger, acquisition, or sale of assets, your personal information may be transferred to the acquiring entity with continued protection consistent with this Privacy Policy.
We may disclose personal information where necessary to protect the rights, property, or safety of YYZ Offices, our staff, our clients, or the public.
We may disclose your personal information to other third parties with your express prior consent.
Some third-party service providers may process or store your personal information outside Canada, including in the United States, where it may be subject to different laws. YYZ Offices takes reasonable measures to ensure appropriate protection consistent with this Privacy Policy and applicable Canadian law. By using our services, you acknowledge and consent to such transfers.
We retain personal information only for as long as necessary to fulfill the purposes for which it was collected, or as required by applicable law. The appropriate retention period is determined by the nature of the information and any legal, regulatory, or operational obligations that apply. When no longer required, information is securely deleted or anonymized. YYZ Offices reserves the right to retain information for longer periods where required by law or where there is a legitimate and documented reason to do so.

No method of electronic transmission is completely secure. You are responsible for maintaining the confidentiality of your account credentials.
Our Platform and services are intended for individuals who are at least 18 years of age. We do not knowingly collect personal information from anyone under 18. If you believe we may have collected information from a minor, please contact us at support@yyzoffices.com.

This Legal Document Receipt & Forwarding Addendum ("Addendum") forms part of the Virtual Office Service Agreement ("Agreement") between YYZ Offices ("Provider") and the individual or entity using its services ("Client"). Registered-office service — under which the Provider receives, accepts, and forwards legal documents and government correspondence on the Client's behalf — is included by default on all plans, except where a specific plan expressly states that it is not provided, and subject to the Provider's right of revocation below and the international eligibility limitations in Section 9.
In the event of any inconsistency between this Addendum and the Virtual Office Service Agreement, this Addendum shall govern solely with respect to legal document receipt and forwarding services. The provisions of Section 5 (Service of Process) and the registered-office restrictions in Section 7 of the Service Agreement apply only where this service has not been provided, has been revoked, or where a plan expressly states it is not provided, and to international Clients outside the eligibility conditions in Section 9.
YYZ Offices may revoke registered-office and legal document receipt and forwarding service from any Client or plan at any time, with email notice to the Client's address on file, or immediately and without prior notice where required for legal, reputational, operational, fraud, compliance, or security reasons. A plan may also expressly state that this service is not provided. Revocation does not entitle the Client to any refund or credit. Upon revocation, the Client must promptly cease representing the address as its registered office or address for service and must comply with the address removal and update obligations in Section 7.1 of the Service Agreement. After revocation, any item that appears to be legal in nature or is identified as service of process will be refused or returned to sender, and YYZ Offices bears no liability for any consequence arising from such refusal or return.
1.1 The Provider permits the Client to use the Provider's designated address solely as:
1.2 The Provider's role is limited to the receipt, acceptance, handling, scanning, and delivery of documents delivered to the designated address — whether by forwarding to the Client or by release for in-person pickup by the Client or the Client's authorized collector — including the acceptance of service of process and legal documents on the Client's behalf solely for the purpose of delivering them to the Client by one of these means. In this Addendum, references to "forwarding" include release for such in-person pickup. This is an administrative service only. The Provider does not monitor deadlines, provide legal advice, or assume any duty of care beyond the commercially reasonable forwarding or release of documents.

2.1 During the term of the Agreement, the Provider will use commercially reasonable efforts to receive and process documents delivered to the designated address that are addressed to the Client, including:

2.3 Receipt of any document by the Provider shall not constitute:
3.1 The Provider shall use commercially reasonable efforts to deliver received documents to the Client, whether by forwarding using the contact information maintained on file or by release for in-person pickup.
3.2 Delivery may occur by email, secure upload, courier, regular mail, in-person pickup, or any other method selected by the Provider. Documents released for in-person pickup may be collected only by the Client or an authorized collector designated under Section 8 of the Service Agreement, who must present valid government-issued photo identification at pickup. Sensitive, confidential, or government-issued items, including legal documents where applicable, may be required to be collected in person rather than forwarded.
3.3 The Client acknowledges that transmission systems are not guaranteed; delays may occur; actual receipt cannot be guaranteed; and the Client remains solely responsible for monitoring all legal, governmental, tax, regulatory, and business matters.
3.4 Any document transmitted by email to the Client's designated email address shall be deemed delivered by the Provider when transmitted.
3.5 Once a document has been scanned and emailed, dispatched, or handed to the Client or the Client's authorized agent, it is deemed delivered and YYZ Offices' responsibility for it ends. Where the address is used as a registered office, the Client acknowledges that legal service may be effective upon delivery to the address regardless of when YYZ Offices transmits it to the Client, and the Client remains solely responsible for monitoring all resulting deadlines.
3.6 Where a document is held for in-person pickup and is not collected by the applicable deadline, it will be discarded and YYZ Offices bears no responsibility for it or its contents. The Client is responsible for monitoring its email on file for notifications from YYZ Offices.
4.1 The Client shall maintain current email addresses, telephone numbers, mailing addresses, and emergency contact information.
4.2 The Client shall immediately notify the Provider of any changes to such information.
4.3 The Client remains solely responsible for legal compliance, litigation management, court deadlines, regulatory filings, tax obligations, and maintaining any legally required registered office or business registrations.
5.1 The Client acknowledges that the Provider is not a law firm, paralegal practice, or compliance manager.
5.2 The Client agrees that it shall not rely upon the Provider for legal advice, litigation strategy, compliance monitoring, or deadline management.
5.3 The Provider's acceptance of service of process or legal documents is solely for the administrative purpose of forwarding such documents to the Client. It does not make the Provider responsible for the validity, timeliness, or consequences of any service, and the Provider assumes no duty of care beyond commercially reasonable forwarding.
6.1 To the maximum extent permitted by applicable law, the Provider shall not be liable for indirect damages; consequential damages; special damages; punitive damages; lost profits; business interruption; missed legal deadlines; default judgments; or regulatory penalties.
6.2 To the fullest extent permitted by applicable law, the Provider's total aggregate liability arising from or relating to this Addendum shall not exceed the total fees paid by the Client in the one (1) billing cycle immediately preceding the event giving rise to the claim.
6.3 The limitations in this section apply regardless of the cause of action, including negligence, contract, tort, equity, or otherwise.
6.4 Nothing in this Addendum shall limit liability for wilful misconduct; fraud; or gross negligence where such limitation is prohibited by law.
7.1 The Client shall indemnify and hold harmless the Provider and its directors, officers, employees, contractors, and affiliates from and against any and all claims, losses, liabilities, damages, fines, penalties, costs, and expenses (including legal fees on a substantial indemnity basis) arising from the Client's business activities; the Client's use of the address; legal proceedings involving the Client; misuse of the services; unlawful conduct by the Client; or third-party claims relating to the Client.
8.1 The Provider may retain scanned copies of received documents for administrative purposes.
8.2 Unless otherwise required by law, the Provider may destroy or delete records after thirty (30) days, consistent with the standard mail retention policy in the Service Agreement.
9.1 For Clients located outside Canada, registered-office use and legal document receipt and forwarding are supported only on plans that include Scanning or Forwarding (Plus Scan or Plus Forward). These plans provide same-day digital delivery or consolidated forwarding, which is necessary for an international Client to reliably receive correspondence from authorities such as the Canada Revenue Agency.
9.2 An international Client on a plan that does not include Scanning or Forwarding is not eligible for registered-office or legal document service unless a locally assigned agent for in-person pickup has been arranged with, and confirmed in writing by, YYZ Offices in advance. Any reliance on such an arrangement without prior written confirmation from YYZ Offices is entirely at the Client's own risk.
9.3 The Client remains solely responsible for independently verifying that the designated address is acceptable to the relevant authority before relying on it for any registration or filing.
10.1 The Provider may immediately suspend or terminate services where suspicious activity is suspected; excessive legal process is received; the Provider believes continued service may create legal or reputational risk; or the Client breaches the Agreement.
10.2 Upon termination or revocation, the Client shall immediately cease using the address and cease representing it as a registered office or address for service; the Provider may reject future deliveries; and the Provider shall have no obligation to forward mail or legal documents received after termination. Any item received after termination or revocation that appears to be legal in nature or is identified as service of process will be refused or returned to sender, and the Provider bears no liability for any consequence arising from such refusal or return.
11.1 This Addendum shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
11.2 The parties attorn to the exclusive jurisdiction of the courts of Ontario.
