Virtual Office Service Agreement

YYZ Offices

Effective Date: The date your selected plan is activated and billing begins

This Virtual Office Service Agreement (“Agreement”) is entered into between YYZ Offices (“we,” “us,” or “our”) and the individual or entity accepting these terms (“you” or “Member”).

By accepting this Agreement — whether by clicking “I Accept,” signing electronically, or through any other form of confirmation — you acknowledge and agree that:

  • You have read, understood, and agree to be bound by this Agreement.
  • You have the legal capacity and authority to enter into this Agreement.
  • You accept all referenced policies, including our Terms & Conditions, Privacy Policy, and Cookie Policy.

Services Provided

YYZ Offices provides virtual office services designed to support your professional presence and business operations, which may include:

  • Use of a professional business address for mail and document reception.
  • Mail and parcel handling, collection, and optional forwarding or scanning (where included in your plan).
  • Concierge support and service add-ons.

All services are subject to availability and may be updated, modified, or discontinued with at least 30 days’ notice.

Plan Structure & Inclusions

All plans are billed on a monthly basis. The following limits apply per billing cycle:

  • Economy — Up to 10 mail items per month for up to 3 recipients (including company name). No parcel handling. Parcels received will be rejected or discarded without notification.
  • Core — Up to 30 mail items per month for up to 4 recipients. Includes 10 parcels per billing cycle.
  • Plus Forward — Up to 60 mail items per month for up to 5 recipients. Includes 10 parcels per billing cycle. Worldwide mail forwarding included (mail only, not parcels).
  • Plus Scan — Up to 60 mail items per month for up to 5 recipients. Includes 10 parcels per billing cycle. Mail is scanned and delivered digitally to your registered admin email.

All plans include same-day email notifications when mail or parcels arrive, junk/spam filtering (filtered items do not count toward your monthly quota), 30-day secure mail storage, mail pickup, and secure shredding.

Mail and parcels received beyond your plan’s monthly limit are billed at $5.00 per item. Parcel overages are also billed at $5.00 per parcel beyond 10 per billing cycle (where applicable).

The company name registered to your account counts as Recipient 1. All recipient slots, including the company name, count toward your plan’s total recipient limit. Mail addressed to unlisted names may be refused or subject to a $5.00 name addition fee. Recipients may be added at any time. Removing or replacing a recipient is permitted once per 12-month period.

Mailing Address Use & Compliance

The address provided is a compliant business mailing address at a physical location and may be used for receiving mail, government correspondence, and tax accounts, subject to the customer’s own due diligence and confirmation of acceptability with the CRA, financial institutions, or other authorities. The address becomes the customer’s official business mailing address on record. The service provider assumes no responsibility for audits, reviews, or regulatory actions arising from address usage or changes.

Operating Address Disclaimer

The address is provided for mailing purposes only and does not represent the customer’s principal place of business, operational location, or place of control unless expressly authorized in writing. Customers are solely responsible for ensuring their address disclosures accurately reflect their business operations in accordance with CRA, banking, and Google Business Profile requirements, and for updating all authorities if their address or service status changes or is cancelled.

Identity Verification & Authorized Collectors

You must provide valid government-issued photo identification at signup. You may list up to five (5) authorized collectors, who must present government-issued photo ID at pickup. The account administrator is authorized by default as a collector. Additional or temporary collectors may be added through written request.

Fees and Payment Terms

  • Advance Billing: All fees are billed in advance on a monthly billing cycle.
  • Taxes: All displayed prices exclude tax, unless says tax included – Ontario HST (13%).
  • Non-Refundable: All payments are non-refundable, including for unused or partially used periods.
  • Payment Method: You must maintain a valid payment method on file.
  • Late Payment: Overdue amounts may incur interest at the maximum rate permitted by the Province of Ontario.
  • Chargebacks: Any payment dispute or chargeback constitutes a material breach and may result in immediate suspension of service.
  • Account Reinstatement After Termination: If your account is terminated, you may reinstate service for the same company name within three (3) business days at no charge. After the three-day grace period, a $100.00 reinstatement fee will apply to any reinstatement made within the following six (6) months. After six months from the termination date, reinstatement is no longer available, and a full new registration will be required. All reinstatement fees are non-refundable.
  • Custom Service Labour Fee: Any administrative, concierge, document-handling, or custom service request outside your standard plan is subject to a minimum charge of $40.00 for up to 30 minutes of work. Extended services are billed at $50.00 per hour, with a minimum commitment of three (3) hours. All labour-based fees are billed upfront and are non-refundable.
  • Payment Method & Billing Responsibility: You agree to keep your payment method accurate, active, and capable of being successfully charged on your billing date. If a payment fails, is declined, or is returned for any reason, a $25 Recovery Administrative Fee (plus applicable tax) will apply. If payment is resolved within three (3) days of the failure date, you will be required to pay only the outstanding balance and the Recovery Administrative Fee. If payment is not resolved within three (3) days, the account will be administratively terminated on the fourth (4th) day.
  • Government-Issued ID Verification: You agree to provide a valid, unexpired, and unaltered government-issued photo ID for account activation. The ID must clearly match your identity and must be submitted correctly (front side with photo and identifying information). A $25 Admin Fee will apply if YYZ Offices must manually contact you to correct ID problems.

Offers & Promotions

From time to time, YYZ Offices may provide special offers, discounts, promotional pricing, coupon codes, referral benefits, or limited-time incentives (“Promotions”). All Promotions are subject to the following terms:

  • Promotions may be modified or discontinued at any time without prior notice unless otherwise stated in writing.
  • Promotional discounts, credits, and incentives are non-transferable, have no cash value, and are non-refundable once applied or redeemed.
  • Only one Promotion may be applied per account unless expressly stated otherwise. Promotions cannot be combined.
  • Promotional pricing applies only for the stated promotional period. Once the promotional term ends, your subscription will automatically renew at the standard plan rate.
  • To receive or maintain a Promotion, your account must remain active, fully paid, and in good standing.
  • YYZ Offices may revoke or reverse Promotional benefits if misuse, fraud, or manipulation is suspected.
  • New-customer promotions do not apply to existing, reinstated, or previously terminated customers.

Mail & Parcel Handling

  • Acceptance: Mail and parcels are accepted only for registered names and authorized recipients. Economy plan accounts do not include parcel handling — any parcels received will be rejected or discarded without notification.
  • Storage & Retention: Mail is retained for 30 days free of charge. Uncollected mail will be securely discarded after 30 days, or forwarded if your plan includes forwarding. Parcels are retained for 7 days free of charge. Maximum accepted parcel size is 24″ × 18″ × 18″ and 30 lbs. Parcels exceeding these limits will not be accepted. Uncollected parcels will be discarded after 7 days with no storage fee.
  • Parcel Allowance: Each account may receive 10 parcels per monthly billing cycle. Overage parcels incur $5.00 per parcel.
  • Junk & Spam Filtering: Flyers, advertisements, and unsolicited mail are filtered and will not be logged or counted toward your monthly mail quota.
  • Forwarding (Plus Forward Plan): Mail is consolidated and forwarded during the first week of the following month. Rush forwarding outside this cycle is available on request for a $20.00 fee. Forwarding applies to mail only — not parcels. Sensitive, confidential, or government-issued items (e.g. credit cards) will not be forwarded and must be picked up in person.
  • Scanning (Plus Scan Plan): Mail is opened, scanned, and delivered digitally to your registered admin email as a PDF on the same day it arrives. Physical mail is held for 30 days then securely shredded. By subscribing to the Plus Scan plan, you explicitly authorize YYZ Offices to open and scan your mail solely to provide this service. Sensitive, confidential, or government-issued items (e.g. credit cards) will not be scanned — you will be notified and required to collect such items in person.
  • Mail Opening: YYZ Offices does not open any mail by default. Mail will only be opened if you have explicitly authorized scanning on your account, or if opening is required by law or necessary for safety or compliance purposes.

Insurance Requirement

YYZ Offices does not provide insurance for any mail, parcels, or property handled or stored on your behalf. You are solely responsible for obtaining and maintaining adequate insurance coverage. YYZ Offices is not liable for any loss, theft, damage, delay, or mis-delivery of items, whether caused by negligence, courier mishandling, or events beyond our control.

Platform & Address Use

  • Misuse (fraudulent listings, misrepresentation) may result in immediate termination.

Prohibited Items

You agree not to send, receive, or store illegal, hazardous, perishable, oversized, or otherwise unsafe materials. YYZ Offices reserves the right to refuse, return, or dispose of prohibited items at your cost.

Term & Termination

  • Auto-Renewal: This Agreement renews automatically each monthly billing cycle unless cancelled.
  • Cancellation: You may cancel at any time by providing at least 7 days’ written notice prior to your next billing date. Cancellation may be submitted through your customer portal at yyzoffices.com/customer-portal, by email, by phone, or in person at our office. Upon submission of a cancellation request, you may be required to complete a cancellation survey or formal cancellation process.
  • Post-Termination: Mail received after termination will be refused or disposed of. No collection is permitted after the termination or service end date.
  • Breach: We may suspend or terminate service immediately for violation of this Agreement or misuse of services.

Limitation of Liability

YYZ Offices is not liable for loss, theft, delay, or damage to mail or parcels, including in transit. Our total aggregate liability is capped at the amount of fees paid in the three (3) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless YYZ Offices, its affiliates, and employees from claims, damages, or expenses arising from:

  • Your breach of this Agreement.
  • Your misuse or unlawful use of services.
  • Third-party claims related to your business activities.

Privacy & Data Handling

We collect and process personal data in accordance with our Privacy Policy. By using our services, you consent to such collection and processing.

Force Majeure

YYZ Offices is not responsible for delays or failures due to events outside our reasonable control, including courier strikes, natural disasters, or platform outages.

Governing Law & Dispute Resolution

This Agreement is governed by the laws of Ontario and Canada. Any disputes will be resolved exclusively through binding arbitration in Toronto, Ontario under the Arbitration Act (Ontario), except where small-claims court applies. You waive any right to participate in class actions to the extent permitted by law.

Notices

Official notices will be sent to your email on file and deemed received upon sending. You must keep your contact information current.

Entire Agreement

This Agreement, along with referenced policies, represents the full understanding between you and YYZ Offices and supersedes all prior communications.

These Terms and Conditions (“Agreement”) govern your access to and use of the website, platform, and services provided by YYZ Offices (“we,” “us,” or “our”). By using our website, platform, or any services — whether directly, indirectly, or through communication or registration — you agree to be bound by this Agreement and all applicable policies (including our Privacy Policy, Cookie Policy, and Virtual Office Service Agreement).

If you do not agree with these Terms and Conditions, you must not use our website or services.

Acceptance of Terms

By accessing or using YYZOffices.com, you confirm that:

  • You are at least 18 years old and have the legal authority to enter into this Agreement.
  • You will comply with all terms of this Agreement, our Privacy Policy, and any other policies or notices referenced on our site.
  • You will use our services only for lawful purposes and in accordance with all applicable Canadian laws.

This Agreement applies to all users, including individuals, businesses, agents, and representatives.

Eligibility & Account Responsibilities

Some services require account creation. You agree to:

  • Provide true, current, and accurate registration information and keep it updated.
  • Maintain the confidentiality of login credentials and restrict access to authorized users only.
  • Immediately notify YYZ Offices of any unauthorized access or suspected security breach.
  • Accept responsibility for all actions taken under your account, whether by you or an authorized user.

We may suspend or terminate access without notice for suspected fraud, non-compliance, or misuse.

Services

YYZ Offices provides business-related services that may include virtual office services, mail handling, parcel reception, forwarding, scanning, concierge support, and eligibility assistance for digital tools.

We reserve the right to:

  • Modify, suspend, or discontinue services at any time with or without notice.
  • Refuse service to any user whose activities are illegal, abusive, or create compliance risk.
  • Require proof of identity or business registration at any time.

We do not guarantee uninterrupted access, error-free performance, or specific outcomes from our services.

Mail & Parcel Handling

Where your plan includes mail or parcel services:

  • Mail is accepted only for registered business names and authorized recipients with active memberships.
  • Junk & Spam Filtering: Flyers, advertisements, and unsolicited mail are filtered before logging and do not count toward your monthly mail quota.
  • Economy Plan: Parcel handling is not included. Any parcels received under an Economy plan will be rejected or discarded without notification.
  • Retention periods:
  • Mail: 30 days. Uncollected mail will be securely discarded after 30 days, or forwarded if your plan includes forwarding.
  • Parcels: 7 days. Maximum accepted size is 24″ × 18″ × 18″ and 30 lbs. Parcels exceeding these limits will not be accepted. Uncollected parcels will be discarded after 7 days with no storage fee.
  • Monthly parcel allowance: 10 per billing cycle. Overages billed at $5.00 per parcel.
  • Mail Forwarding (Plus Forward Plan): Mail is consolidated and forwarded during the first week of the following month. Rush forwarding is available on request for a $20.00 fee. By subscribing to this plan, you explicitly authorize YYZ Offices to open and scan your mail. Sensitive, confidential, or government-issued items will not be scanned and must be picked up in person.
  • Deliveries must be made during posted business hours. We are not responsible for courier tags, missed delivery attempts, or deliveries made outside business hours.

Insurance Requirement:

YYZ Offices does not provide insurance coverage for mail, parcels, or any property handled on your behalf. You are solely responsible for obtaining and maintaining adequate insurance coverage. YYZ Offices is not liable for any loss, theft, damage, delay, or mis-delivery of items, whether caused by negligence, courier mishandling, or events beyond our control. Your sole remedy is to file a claim directly with your chosen carrier or insurer.

Billing & Payment

By enrolling in a plan, you authorize YYZ Offices to:

  • Charge your selected payment method on a recurring monthly basis.
  • Bill immediately upon activation of your plan, regardless of whether mail has been received.

Key Terms:

  • Non-Refundable: All payments are final.
  • Taxes: All displayed prices exclude unless says taxes include – Ontario HST (13%).
  • Late Payments: Overdue balances may accrue interest at the maximum rate allowed in Ontario.
  • Suspension: Unpaid accounts may be suspended or terminated.
  • Chargebacks: Unauthorized chargebacks are a breach of contract and may result in immediate suspension and collections activity.

We may revise fees or billing terms with at least 30 days’ notice.

Term & Termination

This Agreement remains in effect until terminated.

  • Your Right to Cancel: You may cancel at any time by providing at least 7 days’ written notice prior to your next billing date. Cancellation may be submitted through your customer portal at yyzoffices.com/customer-portal, by email, by phone, or in person at our office.
  • Our Right to Terminate: We may terminate immediately without refund if you breach this Agreement, misuse services, or engage in unlawful conduct.
  • Post-Termination: After termination, you must cease using our address and update all public business listings. Mail received after termination will be refused or disposed of per our policies.

Acceptable Use

You agree not to:

  • Use services for illegal, fraudulent, or unauthorized activities.
  • Misrepresent your business, impersonate others, or use the address deceptively.
  • Receive prohibited, hazardous, perishable, or oversized materials.
  • Interfere with other users, our staff, or disrupt operations.
  • Use the service for unregistered third-party businesses without written approval.

Violations may result in suspension, termination, and notification to authorities.

Intellectual Property

All content, software, and branding on YYZOffices.com remain our exclusive property. You may not:

  • Copy, distribute, or reproduce our materials without written consent.
  • Use our logos, names, or trademarks in misleading ways.
  • Reverse-engineer or interfere with our systems.

Limitation of Liability

To the fullest extent permitted by law, YYZ Offices is not liable for:
