These Terms and Conditions (“Agreement”) govern your access to and use of the website, platform, and services provided by YYZ Offices (“we,” “us,” or “our”). By using our website, platform, or any services — whether directly, indirectly, or through communication or registration — you agree to be bound by this Agreement and all applicable policies (including our Privacy Policy, Cookie Policy, and Virtual Office Service Agreement).

If you do not agree with these Terms and Conditions, you must not use our website or services.

  1. Acceptance of Terms

By accessing or using YYZOffices.com, you confirm that:

  • You are at least 18 years old and have the legal authority to enter into this Agreement.
  • You will comply with all terms of this Agreement, our Privacy Policy, and any other policies or notices referenced on our site.
  • You will use our services only for lawful purposes and in accordance with all applicable Canadian laws.

This Agreement applies to all users, including individuals, businesses, agents, and representatives.

  1. Eligibility & Account Responsibilities

Some services require account creation. You agree to:

  • Provide true, current, and accurate registration information and keep it updated.
  • Maintain the confidentiality of login credentials and restrict access to authorized users only.
  • Immediately notify YYZ Offices of any unauthorized access or suspected security breach.
  • Accept responsibility for all actions taken under your account, whether by you or an authorized user.

We may suspend or terminate access without notice for suspected fraud, non-compliance, or misuse.

  1. Services

YYZ Offices provides business-related services that may include virtual office services, mail handling, parcel reception, forwarding, concierge support, and eligibility assistance for digital tools.

We reserve the right to:

  • Modify, suspend, or discontinue services at any time with or without notice.
  • Refuse service to any user whose activities are illegal, abusive, or create compliance risk.
  • Require proof of identity or business registration at any time.

We do not guarantee uninterrupted access, error-free performance, or specific outcomes from our services.

  1. Mail & Parcel Handling

Where your plan includes mail or parcel services:

  • Mail is accepted only for registered business names and authorized recipients with active memberships.
  • Retention periods:
    • Mail: 30 days
    • Small Parcels (≤ 2’, ≤ 20 lbs): 7 days
    • Large Parcels (> 2’, > 20 lbs): 2 days
  • After retention, items may be subject to storage fees ($5/day) or securely disposed of at your cost.
  • Monthly parcel allowance: 10. Overages billed at $5/parcel.

Deliveries: Must be scheduled during posted business hours. We are not responsible for courier tags, missed delivery attempts, or deliveries made outside business hours.

Insurance Requirement:
YYZ Offices does not provide insurance coverage for mail, parcels, or any property handled on your behalf. You are solely responsible for obtaining and maintaining adequate insurance coverage (e.g., shipping insurance, business contents insurance). YYZ Offices is not liable for any loss, theft, damage, delay, or mis-delivery of items, whether caused by negligence, courier mishandling, or events beyond our control. Your sole remedy is to file a claim directly with your chosen carrier or insurer.

  1. Billing & Payment

By enrolling in a plan, you authorize YYZ Offices to:

  • Charge your selected payment method on a recurring basis according to your billing cycle (monthly, quarterly, annually).
  • Bill immediately upon activation of your plan, regardless of whether mail has been received.

Key Terms:

  • Non-Refundable: All payments are final.
  • Taxes: All prices exclude HST (13%).
  • Late Payments: Overdue balances may accrue interest at the maximum rate allowed in Ontario.
  • Suspension: Unpaid accounts may be suspended or terminated.
  • Chargebacks: Unauthorized chargebacks are a breach of contract and may result in immediate suspension and collections activity.

We may revise fees or billing terms with at least 30 days’ notice.

  1. Term & Termination

This Agreement remains in effect until terminated.

  • Your Right to Cancel: You may cancel by providing at least 30 days’ written notice before the next billing cycle.
  • Our Right to Terminate: We may terminate immediately without refund if you breach this Agreement, misuse services, or engage in unlawful conduct.
  • Post-Termination: After termination, you must cease using our address and update public business listings. Mail received after termination will be refused or disposed of per our policies.

  1. Acceptable Use

You agree not to:

  • Use services for illegal, fraudulent, or unauthorized activities.
  • Misrepresent your business, impersonate others, or use the address deceptively.
  • Receive prohibited, hazardous, perishable, or oversized materials.
  • Interfere with other users, our staff, or disrupt operations.
  • Use the service for unregistered third-party businesses without written approval.

Violations may result in suspension, termination, and notification to authorities.

  1. Intellectual Property

All content, software, and branding on YYZOffices.com remain our exclusive property.
You may not:

  • Copy, distribute, or reproduce our materials without written consent.
  • Use our logos, names, or trademarks in misleading ways.
  • Reverse-engineer or interfere with our systems.

  1. Limitation of Liability

To the fullest extent permitted by law, YYZ Offices is not liable for:

  • Loss of income, profits, or opportunities.
  • Delays or service interruptions.
  • Security breaches, unauthorized access, or data theft.
  • Indirect, incidental, consequential, or punitive damages.

Our total aggregate liability is limited to the amount of fees paid in the most recent billing cycle.

  1. Indemnification

You agree to indemnify and hold harmless YYZ Offices, its employees, affiliates, and partners from claims, damages, costs, or legal fees arising from:

  • Your breach of these Terms.
  • Your misuse of our services.
  • Third-party claims relating to your business activities.

  1. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ontario and Canada.
All disputes shall be resolved exclusively by binding arbitration in Toronto, Ontario, under the Arbitration Act (Ontario), except where small-claims court applies.
Class action participation is waived to the extent permitted by law.

  1. Modifications

We may update or revise these Terms at any time. Updated Terms are posted on our website and are effective immediately unless stated otherwise. Your continued use of our services constitutes acceptance of the revised Terms.

Virtual Office Service Agreement

(Effective Date: The date your selected plan is activated and billing begins)

This Virtual Office Service Agreement (“Agreement”) is entered into between YYZ Offices (“we,” “us,” or “our”) and the individual or entity accepting these terms (“you” or “Member”).

By accepting this Agreement — whether by clicking “I Accept,” signing electronically, or through any other form of confirmation — you acknowledge and agree that:

  • You have read, understood, and agree to be bound by this Agreement.
  • You have the legal capacity and authority to enter into this Agreement.
  • You accept all referenced policies, including our Terms & Conditions, Privacy Policy, and Cookie Policy.

  1. Services Provided

YYZ Offices provides virtual office services designed to support your professional presence and business operations, which may include:

  • Use of a professional business address for mail and document reception (including incorporation and CRA registered office use).
  • Mail and parcel handling, collection, and optional forwarding.
  • Concierge support and service add-ons (e.g., mail scanning, rush forwarding).
  • Assistance with eligibility for digital business tools (e.g., Google Business Profile).

All services are subject to availability and may be updated, modified, or discontinued with at least 30 days’ notice.

  1. Identity Verification & Authorized Collectors

You must provide valid government-issued photo identification at signup.
You may list up to five (5) authorized collectors, who must present government-issued photo ID at pickup.
Additional or temporary collectors may be added through written request.

  1. Fees and Payment Terms
  • Advance Billing: All fees are billed in advance based on the selected billing cycle (monthly, quarterly, or annually).
  • Taxes: All prices exclude HST (13%) unless otherwise stated.
  • Non-Refundable: All payments are non-refundable, including for unused or partially used periods.
  • Payment Method: You must maintain a valid payment method on file.
  • Late Payment: Overdue amounts may incur interest at the maximum rate permitted by the Province of Ontario.
  • Chargebacks: Any payment dispute or chargeback constitutes a material breach and may result in immediate suspension of service.

  1. Annual Membership Fee (If applicable)

An Annual Membership Fee may apply. This supports account administration, platform upgrades, and service infrastructure.
This fee is billed once per calendar year at activation or renewal and is non-refundable once billed.

  1. Mail & Parcel Handling
  • Acceptance: Mail/parcels are accepted only for registered names and authorized recipients.
  • Storage & Retention:
    • Mail: retained 30 days free of charge.
    • Small parcels (≤ 2’, ≤ 20 lbs): retained 7 days free.
    • Large parcels (> 2’, > 20 lbs): retained 2 days free.
    • Storage beyond free period: $5.00/day per item.
  • Parcel Allowance: Each account may receive 10 parcels per calendar month. Overage parcels incur $5.00 per parcel.
  • Unclaimed Mail: Items not collected within the retention period may be securely disposed of or returned at your expense.
  • Forwarding: Processed during the last week of each month (cut-off: Friday 5:00 p.m.).
    • Rush forwarding outside this cycle is available on request for a $20.00 fee.
  • Mail Opening: YYZ Offices will not open mail without written authorization unless required by law or for safety/compliance.

Insurance Requirement:
YYZ Offices does not provide insurance for any mail, parcels, or property handled or stored on your behalf. You are solely responsible for obtaining and maintaining adequate insurance coverage (e.g., shipping insurance, business contents insurance). YYZ Offices is not liable for any loss, theft, damage, delay, or mis-delivery of items, whether caused by negligence, courier mishandling, or events beyond our control.

  1. Platform & Address Use
  • You may use the address for marketing, mail reception, and incorporation/CRA registration.
  • Google Business Profile: Approvals are not guaranteed; YYZ Offices may revoke address use if listings violate platform rules or create compliance risk.
  • Misuse (fraudulent listings, misrepresentation) may result in immediate termination.

  1. Prohibited Items

You agree not to send, receive, or store illegal, hazardous, perishable, oversized, or otherwise unsafe materials.
YYZ Offices reserves the right to refuse, return, or dispose of prohibited items at your cost.

  1. Term & Termination
  • Auto-Renewal: Agreement renews automatically each billing cycle unless cancelled with 30 days’ written notice.
  • Post-Termination: Mail received after termination will be refused or disposed of. No collection is permitted after termination date.
  • Breach: We may suspend or terminate service immediately for violation of this Agreement or misuse of services.

  1. Limitation of Liability

YYZ Offices is not liable for loss, theft, delay, or damage to mail/parcels, including in transit.
Our total aggregate liability is capped at the amount of fees paid in the three (3) months preceding the event giving rise to the claim.

  1. Indemnification

You agree to indemnify and hold harmless YYZ Offices, its affiliates, and employees from claims, damages, or expenses arising from:

  • Your breach of this Agreement
  • Your misuse or unlawful use of services
  • Third-party claims related to your business activities

  1. Privacy & Data Handling

We collect and process personal data in accordance with our Privacy Policy.
By using our services, you consent to such collection and processing.

  1. Force Majeure

YYZ Offices is not responsible for delays or failures due to events outside our reasonable control, including courier strikes, natural disasters, or platform outages.

  1. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Ontario and Canada.
Any disputes will be resolved exclusively through binding arbitration in Toronto, Ontario under the Arbitration Act (Ontario), except where small-claims court applies.
You waive any right to participate in class actions to the extent permitted by law.

  1. Notices

Official notices will be sent to your email on file and deemed received upon sending.
You must keep your contact information current.

  1. Entire Agreement

This Agreement, along with referenced policies, represents the full understanding between you and YYZ Offices and supersedes prior communications.

Virtual Warehouse Service Agreement

(Effective Date: The date your selected plan is activated and billing begins)

This Virtual Warehouse Service Agreement (“Agreement”) is entered into between YYZ Offices (“we,” “us,” or “our”) and the individual or entity accepting these terms (“you” or “Client”).

By accepting this Agreement — whether by clicking “I Accept,” signing electronically, or confirming through any registration form — you acknowledge and agree that:

  • You have read, understood, and agree to be bound by this Agreement.
  • You have the legal capacity and authority to enter into this Agreement.
  • You accept all referenced policies, including our Terms & Conditions, Privacy Policy, and Cookie Policy.

  1. Services Provided

YYZ Offices provides Virtual Warehouse Services to support your e-commerce and inventory operations, which may include:

  • Secure Inventory Storage in our Mississauga facility.
  • Incoming Shipment Receiving from you, your suppliers, or your customers.
  • Return Handling — receiving, logging, organizing, and storing customer returns.
  • Order Fulfillment & Shipping — picking, packing, labeling, and forwarding shipments to your chosen courier or through our discounted partners.
  • Optional Add-Ons such as temperature-controlled storage or custom handling solutions.
  • Discovery & Setup Call — within one (1) business day of activation, we’ll review your inventory, packaging preferences, and shipment instructions.

All services are subject to availability and may be updated, modified, or discontinued with at least 30 days’ notice.

  1. Account Setup & Identification

You must provide the following at sign-up:

  • Valid government-issued photo identification (Driver’s License, Passport, PR Card, etc.).
  • Legal company name registered to receive shipments.
  • Primary contact information including phone number and email address.
  • Any authorized representatives or trade names that may appear on shipments.

Shipments received under unregistered names may be refused or returned at your cost.

  1. Storage Specifications

Pallet Size & Weight Limits

  • Each pallet must not exceed 48″ x 40″ in base size and 48″ (4 ft) in height (including stacked items).
  • Maximum pallet weight: 2,000 lbs (≈900 kg).
  • Individual units over 50 lbs require prior approval.
  • Oversized or overweight pallets may be refused, repacked, or billed extra handling fees.
  • Single units on individual skids may be accepted if safely movable via forklift or pallet jack.

Temperature-Controlled Storage (if applicable)

  • Available for sensitive inventory.
  • Subject to separate plan selection and additional fees.

  1. Metered & Variable Charges

Additional charges may apply, including but not limited to:

  • Pallet Storage: Billed per pallet per month, based on maximum pallets stored at any time.
  • Shipment Handling: Charged per shipment; includes picking, packing, labeling, and handoff using standard boxes.
  • Pallet In/Out Fee: One-time fee for each pallet received or dispatched.
  • Custom Handling or Kitting: Quoted separately based on complexity and materials used.

All rates are subject to applicable HST (13%) and may change with 30 days’ written notice.

  1. Account Setup & Discovery Call

Within 1 business day of activation, YYZ Offices will schedule a discovery call to review:

  • Product dimensions and packaging sizes.
  • Shipping label formats and courier preferences.
  • Custom handling or kitting requirements.

Unusual, oversized, or branded packaging not included in standard box sizes may incur premium handling fees.

  1. Orders & Communication
  • You’ll be assigned a dedicated email address for order submissions.
  • All inventory requests, shipping instructions, and order details must be submitted through this address for timely processing.
  • You must maintain a regularly monitored notification email to receive inventory updates and arrival confirmations.

  1. Fees & Payment Terms
  • Advance Billing: All plans and storage fees are billed in advance.
  • Taxes: All prices exclude HST (13%) unless otherwise stated.
  • Non-Refundable: All payments are final and non-refundable.
  • Payment Method: A valid payment method must be maintained on file.
  • Late Payments: Overdue accounts may incur interest at the maximum rate permitted in Ontario.
  • Chargebacks: Any chargeback or payment dispute constitutes a material breach and may result in immediate suspension.

We reserve the right to adjust pricing with 30 days’ written notice.

  1. Insurance Requirement

YYZ Offices does not provide insurance for stored inventory, returns, or shipments. You are solely responsible for maintaining adequate business contents, inventory, or shipping insurance.

YYZ Offices is not liable for loss, theft, damage, delay, or courier mishandling. Your sole remedy is to file a claim directly with your insurer or courier.

  1. Term & Renewal
  • Minimum Term: One (1) year from activation date.
  • Auto-Renewal: Agreement renews automatically for subsequent terms unless cancelled in writing.
  • Termination: Requires 30 days’ written notice prior to renewal or contract end date.
  • Post-Termination: You must remove all inventory and update your records. Any remaining items may be disposed of or retained at cost.

Failure to provide timely notice may result in continued billing.

  1. Acceptable Use & Prohibited Items

You agree not to store, ship, or send:

  • Illegal, hazardous, perishable, or flammable goods.
  • Oversized or unapproved items.
  • Counterfeit or trademark-infringing products.

YYZ Offices reserves the right to inspect, refuse, or dispose of prohibited materials at your expense.

  1. Limitation of Liability

YYZ Offices is not liable for:

  • Loss, theft, or damage to goods.
  • Courier errors, missed deliveries, or delays.
  • Business interruption or lost profits.

Our maximum liability is limited to fees paid in the three (3) months preceding the claim.

  1. Indemnification

You agree to indemnify and hold harmless YYZ Offices, its employees, and affiliates from claims, damages, or expenses arising from:

  • Your breach of this Agreement.
  • Misuse or unlawful use of services.
  • Third-party claims related to your business or inventory.

  1. Privacy & Data Handling

Personal and business data are collected and processed in accordance with our Privacy Policy.
By using our services, you consent to such data collection and communication by email.

  1. Force Majeure

We are not liable for delays or failures due to causes beyond our control, including but not limited to:

  • Courier strikes or transport disruptions.
  • Natural disasters, power outages, or pandemics.
  • Acts of government or legal restrictions.

This Agreement is governed by the laws of Ontario and Canada.
Disputes shall be resolved exclusively through binding arbitration in Toronto, Ontario, under the Arbitration Act (Ontario), except where small-claims court applies.

You waive the right to participate in class actions, to the extent permitted by law.

All official notices will be sent to your email on file and deemed received upon sending.
You must keep your contact information current at all times.

  1. Entire Agreement

This Agreement, along with referenced policies, constitutes the entire understanding between you and YYZ Offices and supersedes all prior communications.

Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (“Agreement”) govern your participation in the YYZOffices.com Affiliate Program (“Program”). By enrolling as an affiliate, you agree to be bound by these terms, as well as our Privacy Policy, Cookie Policy, and Website Terms & Conditions.

If you do not agree with any part of this Agreement, you may not participate in the Program.

Eligibility

To participate in the YYZOffices.com Affiliate Program, you must:

  • Be at least 18 years old.
  • Reside in a jurisdiction where affiliate marketing is legally permitted.
  • Maintain an active, verifiable email and payout method.
  • Not promote illegal, deceptive, or unethical practices.

We reserve the right to reject any application at our sole discretion.

Commission Structure

Affiliates earn commissions for each new paid customer referred through their unique tracking link or code. Key terms:

  • Commission rates and qualifying services are disclosed on your affiliate dashboard or program emails.
  • Commissions are only payable after the client has remained active for a minimum of 30 days.
  • Referral must be tracked via our designated system; manual tracking is not supported.
  • Self-referrals are strictly prohibited.

We reserve the right to modify commission rates and eligibility criteria at any time.

Payment Terms

  • Payouts are made monthly, typically on or around the 15th of the following month.
  • Minimum payout threshold: CAD $50 (unless otherwise specified).
  • Payouts are made via the payment method on file (e.g., PayPal, Interac, Bank Transfer).
  • It is your responsibility to ensure accurate and updated payout information.
  • You are responsible for any taxes applicable to affiliate income.

Promotion Guidelines

Affiliates may promote YYZOffices.com through blogs, social media, email, or websites, provided they:

  • Clearly disclose their affiliate relationship (in accordance with FTC/CSA guidelines).
  • Do not use false or misleading claims.
  • Do not impersonate YYZOffices.com or use our branding deceptively.
  • Do not participate in spamming, unsolicited messaging, or paid keyword bidding on branded terms.
  • Do not promote on websites or platforms containing hate speech, adult content, or misleading material.

Any violation may result in immediate termination and forfeiture of unpaid commissions.

Branding and IP Use

YYZOffices.com grants limited, non-exclusive permission to use its name and promotional materials for the sole purpose of affiliate promotion.

You may not:

  • Alter our logo or brand assets.
  • Register domains, accounts, or social handles that impersonate YYZOffices.com.
  • Claim any representation or agency on our behalf.

All intellectual property remains the sole property of YYZOffices.com.

Termination

This Agreement remains effective until terminated by either party.

  • You may terminate by written notice at any time.
  • We may terminate or suspend your participation at any time, for any reason, with or without notice.

Upon termination, you will:

  • Cease using our brand and promotional materials.
  • Forfeit any commissions not yet eligible for payout (in cases of policy violation).
  • Lose access to the affiliate dashboard.

Limitation of Liability

YYZOffices.com will not be liable for indirect or incidental damages, lost profits, or loss of data arising from your participation in the Program.

We do not guarantee any income from your affiliate efforts.

Indemnification

You agree to indemnify and hold harmless YYZOffices.com from any claims, damages, or liabilities arising from:

  • Your breach of this Agreement.
  • Your promotional activities.
  • Your misuse of our branding, platform, or systems.

Governing Law

This Agreement shall be governed by the laws of Ontario, Canada. Any disputes shall be resolved under the Arbitration Act (Ontario), in English, and held in Toronto.

Modifications

We reserve the right to modify this Agreement at any time. Continued participation in the Program constitutes acceptance of the updated terms.

Agreement Overview

These Supplier Program Terms & Conditions (“Agreement”) govern your business relationship with YYZOffices.com (“we,” “our,” or “us”) as a third-party supplier or service provider. By submitting a registration form, accepting a purchase order, or engaging in commercial activity with us, you agree to comply with this Agreement.

If you do not accept these terms, you must refrain from conducting business with YYZOffices.com.

Eligibility

To be considered for supplier engagement, you must:

  • Be a legally registered business entity.
  • Have the authority to enter into binding agreements.
  • Operate in a jurisdiction where commercial vendor activity is legally permitted.
  • Submit accurate business and contact information during registration.

We reserve the right to accept, reject, or terminate suppliers at our sole discretion.

Scope of Work

All work must be authorized by a written purchase order, service agreement, or official approval from YYZOffices.com. No services or deliveries are to begin without documented approval.

Specific scope, timelines, and payment amounts will be outlined on a per-project or per-order basis.

Compliance & Documentation

All suppliers must comply with:

  • Federal and provincial laws (including but not limited to CRA requirements, HST regulations, and industry licensing).
  • Any industry-specific regulations applicable to your field.
  • YYZOffices.com’s code of conduct and operational guidelines.

You may be required to submit or maintain:

  • Proof of insurance coverage
  • Business registration documents
  • Safety certifications or licenses
  • Tax identification numbers or CRA business numbers

Failure to maintain compliance may result in suspension or termination of your status as a supplier.

Payment Terms

  • Invoices must be submitted after completion of approved work or delivery of goods.
  • Standard payment terms are net 30 days unless otherwise agreed in writing.
  • Payment methods may include Interac E-Transfer, bank transfer, or another agreed method.
  • Accurate invoicing and up-to-date banking details are your responsibility.
  • Late submissions or incorrect billing may delay processing.

We reserve the right to withhold payment for incomplete, substandard, or disputed services.

Confidentiality

During the course of your engagement, you may have access to confidential business information, operational data, or proprietary materials. You agree not to:

  • Share confidential information with third parties.
  • Use any of our information outside the scope of your supplier role.
  • Retain or reproduce confidential materials without written permission.

This obligation remains in effect even after the end of the business relationship.

Liability and Indemnity

YYZOffices.com is not responsible for loss, damage, or injury resulting from your services or products. You agree to:

  • Maintain responsibility for your own operations, personnel, and equipment.
  • Indemnify and hold harmless YYZOffices.com from any legal or financial claims resulting from negligence, misconduct, or breach of contract on your part.

Termination

YYZOffices.com may terminate your supplier status at any time, with or without notice, for any reason including (but not limited to):

  • Policy violations
  • Non-performance or repeated quality issues
  • Legal or regulatory non-compliance

Suppliers may also request termination by notifying us in writing. All outstanding obligations must be settled prior to final disengagement.

Branding and Representation

Suppliers may not use YYZOffices.com’s name, branding, or materials for promotional purposes without prior written approval. Impersonation, misrepresentation, or unauthorized endorsements are strictly prohibited.

Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes arising from this Agreement shall be resolved through binding arbitration under the Arbitration Act (Ontario), conducted in English in Toronto, Ontario.

Modifications

We reserve the right to revise or update these terms at any time. Updates will be posted on our website. Continued supply or service to YYZOffices.com following any changes constitutes your acceptance of the updated terms.
